The acceleration of the delivery of goods in international business and the tardiness of the circulation of bills contradicts with each other, which gives rise to the delivery of goods without bill of lading.This thesis is studying on the lately-issued Rotterdam Rules, researching on the 45th to the 47th article of Chapter Nine of the Rotterdam Rules, which established a series of new rules in the delivery of goods. The thesis will emphasize on the defects of the concerning articles of the Rotterdam Rules to elaborate the writer's point. Firstly, the thesis deals with the delivery of goods without bill of lading under the Rotterdam Rules. The Rotterdam Rules sets up conditional delivery of goods without bill of lading under the straight bill of lading and the negotiable bill of lading, which will probably bring about new risks such as the abuse of Party Autonomy Principle and the lack of operability. Then, in retrospect of Chinese domestic legal system, according to which it is compulsory to deliver the goods with the bill of lading and conditional delivery without the straight bill of lading is permitted, reform should be taken in the status quo. China should reform the domestic legal system by considering reinforce the legislation on electronic bill and maintaining the balance of rights and obligations.
