With the development of economic globalization and productivity, improvement of goods and information’s exchange, production division has gradually broken the limits of region, production factors is moving in the whole world. In order to face the challenges brought by the new situation, many enterprises prefer to join or build a strategic alliance to get more competitive advantages, look forward to make more benefits than before. The establishment and improvement of the Income Distribution Mechanism of Strategic Alliance(IDMSA) is very important for the growth of enterprises in the alliance, the stable development of the strategic alliance and the stability of national economic environment. However, compared with the rapid development of strategic alliance in recent decades, the theory development of strategic alliance and IDMSA is not satisfactory.In the paper I make the conclusion of the theory of strategic alliance and IDMSA in recent decades, sum up some basic principle of income distribution of strategic alliance, and analysis the advantage and disadvantage of the existing theories. We take the enterprise’s contribution for alliance and the risk that enterprise take in alliance into account which is base on the value creation way of strategic alliance. We acknowledge that the Bargaining power owned by enterprises influence the income distribution result at the same time. We use Shapley formula which can do quantitative analysis in IDMSA, and Nash Bargain Model to do a joint and comprehensive analyze with Technique for Order Preference by Similarity to an Ideal Solution(TOPSIS).By doing it that way, we can find a IDMSA which could quantify the impaction on the issue of alliance income distribution by enterprises, and reflect the appeal of the enterprises. At the end of the paper, we prove the validity of the IDMSA we just mentioned by a numerical example, which lays the foundation for the practical application of the IDMSA.
