In last two decades, cross-border M&A (merger & acquisition) activities, that are flooding across the borders of nations, have gradually become the main sector of foreign direct investment (FDD substituting the green investment, and have greatly influenced the economy of the world. As the largest developing country in the world, the potential market of China is pursuited by many transnational corporations (TNCs) .Wth China appearing in the world more openly, especially after China's entry into WTO, the regulation on M&A activities is loosening up, and then the reforms of the law and policy system lower the risk of the investment from the foreigner including the American TNCs.America is the strongest economy units in the world, and TNCs of America spread all over the world. Although there is something in common with the TNCs from other countries, the M&A activities of American TNCs acquiring native enterprises in china have their own particularity on the patterns, industrial layouts, geographic characteristic in position. American TNCs are acquiring more and more native enterprises in China, and in our opinions, there seems to be many disparities in the American M&A activities to the native enterprises between TNCs 'and Chinesel government's aims. And it is one of the main tasks of the thesis to clarify the seriousness of those disparities in aims of transnational M&A between American TNCs and the government and to prove the existence of these disparities.Moreover, it is the other main task of the thesis that putting forward some policies for Chinese government and some countermeasures for native enterprises in order to overcome the negative effcts to the economy of China attributed to the American TNCs'M&A activities. So, the investigation could not only benefit the governing and regulating system of Chinese government to adapt to the development of the transnational M&A, but also provide the evidence of decision-making for the nativeenterprises to make most of the American TNCs' M&A activities.Based on the context of trie development of the American TNCs' M&A activities to native enterprises in the tide of global economy unification, this thesis reviews the literatures on transnational TNCs' M&A to native enterprises in academia.' With investigating the historical activities of American TNCs' M&A and analyzing the characters of these activities, in this thesis, we provides both theoretical and empirical evidence from data on M&A activities between American TNCs and native enterprises to suggest that the disparities of aims do exist and that it is the most important aim of M&A in the eyes of China to seek to promote the performance of industries. At last, we put forward some policies for Chinese government and some countermeasures for native enterprises to overcome the negative effects attributed to American TNCs' M&A acquiring native enterprises in China.
