Merge and Acquisition (M & A) risk of course belongs to many links, merge risk lead to the fact of many kinds of factors at the same time. As enterprises merge the constant gradual progress of the way, merge the scale to expand constantly, influence (M & A) risk factor of comprehensive benefit, coverage, and caused loss degree have more and more, heavy tendency, but people have not stopped takeover because the enterprise well purchases risk, meanwhile, takeover has not lost vigor because of existence of the risk either, opposite under the market economy condition that is nowadays opened, there is tendency of growing in intensity in takeover. Discern risk, know risk, assessment risk at first only, then in can control, develop the activity of merging in the acceptable risk range, and take precautions against the risk , control the risk, shift the risk in the course of merging, could make success (M & A). This research was taken in to the relevant research that (M & A) recently, directed against China's peculiar market economy condition, use the theory to think after deducing and summing up with the phenomenon, (M & A) and face the varied risk factor, the course that enterprises merge begins from design, choice, decision stage merging should, can be divided into three stages, namely (M & A) in earlier stage, middle period, later stage. The choice that first, merges in earlier stage is assessed; the second is the subject trade of merging middle period; the third is to merge back-end merger to launch. Reason why the risk produces in every stages, full of enterprise sing will estimate to merging the strength of bothsides by mistake, it is too high to merge prices, personnel are disorient, the assumption mistake before merging, merge and plan incompletely intently, enterprises are incompatible each other in organization, enterprise's cultural difference, the trade difference, macroscopically legal environment ,etc, these risk factors are extremely complicated, involve a wide range of knowledge. How systematic risk during every stages when (M & A) course discerns that analyses, and propose that a set of intact risks are taken precautions against and designed , how to reduce or dispel the risk that may appear in the course while merging effectively, in order to improve the efficiency that (M & A), it is enterprises that realize through merging that strategy develops an important topic in the purpose , it is a focal point discussed in this research too, hope to study the reference when the result of incomes can become enterprises of our country and is engaged in takeover even more.
