With the importance of human capital having been recognized, the contradiction between human capital and currency capital becomes more and more prominent. During the process of pursuing the modern enterprise system, many enterprises have suffered enormous losses because they haven't coordinate well the relation between the contributor of currency capital and the owner of human capital—professional manager, haven't handled the contradiction between the two well. Facing all current problems existing in domestic enterprises and professional managers, it's with great theoretic and realistic sense to identify and take precautions against the risk brought by professional managers and to seek the better ways to motivate them.Basing on the analysis of professional manager's occupation characteristics and classification, regarding the conflicts between professional manager and enterprise's owner, this paper has discussed the theory origin of professional manager's nonstandard behavior and researched the risk types of professional manager, including adverse selection risk, moral risk and convert risk. The reason that professional manager risk produced has studied in this thesis. According to the principles how mankind qualification reacts in the environmental stimulation, this paper offers a coordinated method to assess and select professional manager. This paper has also put forward the countermeasures in taking precautions against manager's risk from two respects of system and morals. Motivation is another focal point of this dissertation, because it is one of the effective means to take precautions against professional manager's risk. The thesis has analysed the motivation problems existing in professional managers of our country at present stage. Remunerative motivation has been studied deeply in this paper, especially stock right motivation among professional managers. From control power, competition and reputation of professional managers, the paper sets up a motivation—restriction model.Following creative research has been involved in this dissertation:First, a system of risk precautions of professional managers has been set up from evaluation, system construction and occupation morals. According to the principles how mankind qualification reacts to the environmental stimulation, this paper offers a coordinated method to assess and select professional managers.Second, the paper has built an integrated motivation model of remuneration and non—remuneration to professional manager and systematically analyses the remuneration institution, control power institution and reputation institution. Expatiating on the relation between the professional manager's substance motivation and spirit motivation is not totally substituted but complemented each other.Third, this paper sets up an integrated management model of professional manager's selection, motivation, and behavior restriction and risk precaution. It is significant to settle the professional manager problems of our country in transition economy.
