Merger and acquisition, in short, M&A, is of strategic significancefor enterprises. It is also a shortcut for Chinese enterprises to expeditetheir process of going global. However M&A is not without risks. A largeamount of statistics and the experience of out domestic enterprisesindicate that unsuccessful integration is the main reason for a failed M&A.During the stage of integration we must give priority to culturalintegration, esp. in the case of transnational M&A in Chinese IT industry.This dissertation combines general theory of M&A and thepractical condition in Chinese IT enterprises, while emphasizing theimportance of cultural integration after M&A. The dissertation is dividedinto four parts: First, an introduction of the background and significanceof the research as well as the methods used. Second, general theories,concept and basic types of M&A;the driving force of M&A in ChineseIT enterprises;analysis of reasons for a failed M&A;the importance ofintegration. Third, also the most important part of this dissertation, natureand characteristics of culture;the characteristics of integration of an ITenterprise from a cultural perspective;analysis of cultural clashes andcensorship taking the M&A of Lenovo and of TCL as examples;a furtherdiscussion of principles and modes of cultural integration;the content ofcultural integration and steps taken in this process. Fourth, an assessmentof the effect of cultural integration in M&A of domestic IT enterprises,also citing the M&A of Lenovo and of TCL as examples.This dissertation is written in the hope of providing significantexamples and reference for cultural integration after the transitional M&Ain Chinese IT enterprises.
