Joint-stock Commercial Bank Corporate Governance Structure Empirical Research

Since our country enter WTO in 2001, according to the agreement of WTO, our country should open the financial market step by step in 5 years. Our commercial banks will face with more serious competition from foreign banks. But corporate governance is a major factor for the development of commercial banks, which is the important aspect of modern banking system. Therefore, corporate governance has become one of the hot topics in the financial field. Our joint-stock commercial banks have constituted the modern banking system, therefore, it is very reasonable to demonstrate corporate governance structure of joint-stock banks of our country, which can offer definite use for reference for the development of our commercial banks.The studying method of this paper is mainly demonstrating analysis. Firstly, this paper reviews the essential theory of corporate governance of commercial bank. Secondly, base on the theory of corporate governance of commercial banks, this paper design the framework of the corporate governance structure, analysis the situation of corporate governance of joint-stock commercial banks of our country, the framework of joint-stock commercial banks is made of convention of stockholder, directorate , superior, and high-level manager. At the same time, this paper compares corporate governance structure of our country joint-stock commercial banks with compare corporate governance structure of foreign commercial banks, and explain the differentiate. Thirdly, it is demonstration analysis of the corporate governance structure that affects the outstanding achievement of commercial bank. By investigating the annals of joint-stock commercial banks, analyze the impact of the governance index to ROE of joint-stock commercial banks.
