Building a modern bank system is one of the most important part of the financial system reform in China and the corporate governance is the core of modern bank system. Many commercial banks have taken reform of corporate governance in order to get into the global bank system. After the reform of Bank of China and Construction Bank of China, Industry and commercial bank of China listed on the capital market successfully in Oct.27th, 2006. Facing with more serious competition, Chinese commercial banks have to take new challenge from foreign banks.The main content of the paper is divided into four parts:The first part reviews the concepts and theories of corporate governance, especially the definition and development of corporate governance in commercial banks.The second part describes the concepts and development of two kinds of typical corporate governance. It analyses the features of governance mechanism of mainstream banks in the world in the specified case of Mitsubishi bank and HSBC.The third part reviews the history of building corporate governance of commercial banks in China, analyses the structure of commercial banks, especially the relationship between state-owned commercial banks and HuiJin Corporation Ltd, the improvement of corporate governance after boarding on stock market reform of state-owned commercial banks.The fourth part mainly focus on the cases in the banks' corporate governance reform. It has a general discussion of the governance structure, the balance mechanism and the incentive mechanism.
