Research On Corporate Governance For Rural Commercial Banks

Rural commercial bank is one of the reform of rural credit cooperatives. Also it is a new form of Joint-stock rural financial institutions. If its company governance would be suitable to the general rules of Corporate governance of modern financial enterprises and has the characteristic of Joint-stock rural commercial bank will be crucial in the process of reform in the rural credit cooperatives. Right now in China, there is no mature framework of company governance.Also there is still a long way to go in terms of practice. Besides, there is no mature theoretical system in terms of legal person structure in rural commercial bank. Most of them follow the theory of structure of governance of general legal man, without taking consideration of differences between commercial banks and other kinds of companies. In another words, neglecting the characters of commercial banks. With the improvement of legislation, a trend to strengthen the governance in terms of Legislative, judicial sectors, more and more theories are set up.This thesis applies theories in terms of company law, economic law and commercial bank law, analyze the relationship between Joint-stock and cooperative system, do some research on option setting and governance structure in the new round of reform, analyze the creativity of rural commercial banks established in the new round of reform, and finally give some suggestions on the problems in this process. Also, combining the experiences of governance of commercial banks in other countries, this thesis will compare the essences of Cooperation and joint-stock, Credit unions and commercial banks.Finally give some assumptions in reforming the structure of legal person of rural commercial banks.This thesis firstly introduces the background and significance. Then it will introduce the structure of company governance and the specificity of commercial banks. Also some research and theories of governance of commercial banks in China and other countries will be included. At last the thesis will take out the requirement to improve the structure of governance in rural commercial banks. Chapter 1 will illustrate the theories regarding to the structure of company governance and contents of governance of commercial banks. Chapter 2 will introduce the governance of rural commercial banks in China, then some problems will be detected in this issue. Chapter3 will analyze the specificity of the structure of governance of commercial banks, both in this profession and company governance. Chapter 4 will discuss how to improve the governance of rural commercial banks. Firstly is the requirement to improve the governance, then the thesis will discuss how to improve the governance structure of rural commercial bank.
