The Directors' Civil Responsibility To The Consumers From The Perspective Of Corporate Social Responsibility

Corporate social responsibility is a hot issue concerns the interests of corporations, consumers and stakeholders. Social problems such as resources waste, environmental pollution and food safety are emerging one after another, it constantly arouses people to think about the corporate social responsibility and the directors' responsibility, which has been recognized and got attention in the world. In recent years, China scholars and legislators also invest more vision to the field of company social responsibility. However, how to implement the corporate social responsibility is still a problem.Consumers'interests are always the key problem of concern. Sanlu Milk Powder is a precisely illustrative case about consumers' rights and interests protection, the extremely painful lesson from Sanlu Milk Powder once again aroused people to think whose actually trustee the directors are and what is social responsibility of the directors to consumers. Under the background of lack of legislation practices and theoretical researches, studying the company directors'civil liability to consumers is a difficult attempt. This paper argues that from both theoretical and practical studies, also from the perspective of social problems about the protection of consumers'rights, the issue of liability of directors to consumers has a great research significance and value.This paper mainly adopted the methods of sociological research and comparison research to explore why Company directors should assume the responsibility to the consumers. By the comment and enlightenment from abroad and Taiwan's legislature about directors civil liability for the third party, this paper explores the real ways of company directors' civil liability to consumers and gives some suggestions about how to protect consumers'rights.This paper takes six parts for the research directors'civil liabilities to the consumers: In the first chapter, the author mainly discusses the basic theory of civil liabilities of directors to consumers. Corporate social responsibility theory is the theory point for liability of corporation directors to third party.In the second chapter, the author analysis of the destined of civil liability of directors to consumers, this is the focuses and innovation part. It mainly from the perspective of sociology, management and law to deal with why corporation should take social responsibility to consumers, further from the legal evolution of corporations' civil liability to directors' civil liability, and from take rationality question of corporations' civil liability to consumers, to research why civil liability of corporation to third party goes to civil liability of directors to consumers.In the third chapter, the author mainly comments the domestic legislation about liability of corporation directors to third party, and analysis domestic legislation shortage about responsibility subject, responsibility counterpart and responsibility content.In the fourth chapter, the author mainly comments the abroad and Taiwan's legislature about civil liability of directors to third party and summarizes above legislation enlightenment.In the fifth chapter which is the key point to this paper, the author mainly discuss the approach that how corporation directors realize their civil liabilities to consumers. This paper mainly researches from several aspects about how corporation directors bear civil liability for consumers, including the responsibility subject defined, intermediary responsibility or direct responsibility that directors bear for consumers, compensation, consumer action fund and the conditions of limit and exemption of liabilities.The last part is the conclusion, the author reiterates that establishing the system of civil liability of directors to consumers is in an urgent, destined need, and propounds the key point of perfecting the legislation of corporations' social responsibility and directors' responsibility.
