The concept of corporate social responsibility which originated in 1920s immediately incurred the fierce disputes and discussions from all circles of the society when it's born. Till now, many countries have required expressly that a corporate should undertake the social responsibilities in laws. Particularly in Britain, USA, Germany and Japan, as represented by the major developed countries, not only it has made relatively perfect requirements in laws, but also the companies bear their social responsibility well in practice. China's Company Law has unequivocally announced that the company should bear the social responsibility, which is the practical result on the base of the previous research on corporate social responsibility theory.This paper researches the corporate social responsibility through specific legal system from the perspectives of normalization to amend the shareholders centrism in the traditional corporation theory and therefore to promote the implement of corporate social responsibility. In our country, more and more illegal phenomenon appears in the process of chasing corporate interests, and some even leads to international friction…Facing the negative influence to society in the self-development of corporation, the research on corporate social responsibility from the perspective of specific system has a great significance on promoting the healthy development of the company and social stability in China.The main content of the paper is divided into six parts. The first part is foreword and the last one is closing remarks. In the second chapter, the origin and development of corporate social responsibility theory is introduced. Through an overview of the research at home and abroad, the connotation of corporate social responsibility's normalization is revealed, and furthermore the entry point of this paper is found. In the third chapter, the status quo of corporate social responsibility's normalization in main developed countries by comparative analysis, and what we can learn from them is discussed. Finally the necessity of corporate social responsibility's normalization is explained. In the fourth chapter, related issues of corporate social responsibility's normalization in China is analyzed, mainly from the status of the Company Law and the relevant departmental laws to analyze the strengths and weaknesses; at the same time, through a comprehensive analysis on main points of domestic scholars on promoting the normalization of corporate social responsibility and based on the actual conditions of corporate governance in China, this paper puts forward its own ideas and views. In the fifth part, some advices for perfecting the system of corporate social responsibility's normalization are proposed based on the comparative analysis above to help regulate and implement corporate social responsibility.
