Research On The Legal System Of Chinese Venture Capital

Venture capital has a great driving force to the development of high-tech industries and national economy. The development of high-tech industries and increasing jobs for tech talents are urgent task for country, which is undergoing economic transition. Ensuring the healthy and orderly development of venture capital is the imminent task for us now. At present ,we do not have a law specialized for venture capital, the related legal rules are Dispersion exists in different laws, for example Securities law, tax law, company law. Because of the lack of considering of the venture capital, the rules are not coordinate, even exist conflicts in practice. Through the of different country's law relevant to venture capital, I want to find the defects and deficiencies existing in the venture capital's legislation. On the basis of the analyzing and comparison, I would like to make suggestions to solve the problem that how to regulate venture capital by law in our country. Then make some suggestions about the subject, expect the suggestions could make any contribution to the development of national economy.On the basis of elaboration of the concept of venture capital, running links and the main parties, the article comparative analyzes venture capital's legal system; review the current problems in Chinese current problems related legislation of venture capital, in order to make a number of legislative proposals for Chinese venture capital. Hope that through the construction and improvement of the legal system to promote the development of venture capital industry to accelerate the development of high-tech and the development of high-tech achievements in the industrialization process.In the first chapter, I describe the basic theory of venture capital conceptually, from the main subjects; running links, functions, etc, point out the characters of venture capital, and the great sense for the economic development of our country. In the second chapter, I introduce the inspiration from the venture capital's legal system of developed countries. Developed countries such as America and Japan, have faced the similar problems to the current China, for example lacking of sources of funding, inconvenient exiting mechanism and so on. The measures they taken to overcome adversity, such as tax incentives, reforming stock market, are necessary for our country as well. Then I summarized the defects of our venture capital's legal system through studying and analyzing our venture capital's legal system. On the basis of experience and inspiration from the developed countries, I support my suggestions which are for improving the laws of venture capital. The part of suggestions mainly related to the organization of venture capital, capital refund and government support for venture capital.
