Against the backdrop of regulation control and national measures to real estate industry, the author from the point of sustainable development, the necessity and feasibility of REITs has reflected in current legal problems from the point of view of the legal framework for analysis to this kind of new investment and financing models.The purpose of this paper is to analyze how to promote financial innovation, business class as regards, Industrial real estate company and park development of enterprise to issue REITs, in order that the entire market of investment and financing channels will broaden, more investors can share the achievements of the rental income through the new investment tools, real estate development, so that the real estate industry will healthy, balanced and sustainable develop.Therefore, the author compared to foreign REITs issue of the example analysis of all kinds of REITs, issue pattern, profit model, operation mode and its governance structure after the systematic analysis of legal form to REITs and also tabled a complete proposal for China's current legal system framework and provided ideas for the real estate industry financial innovation as well as sustainable development.Finally, the author puts forward that after development zone which spread all over China in the industrial development mature, financing function of REITs can be used, which makes State-owned industrial and commercial real estate securitization in economic development zone. Not only ordinary investors share the development and construction of the results, but also construction mature development zone accelerate fusion and ultimately it will successful gradually transit to completely urbanization state.
