To take Golden Express Group as a case, this paper firstly analyzed family enterprises as a common phenomenon in China's economic development expand rapidly today and also face the problem that restricts the management, especially the problem of human resource management, we are trying a variety of advanced management methods in order to Blue Ocean, many companies have chosen to use equity incentive approach. Second, references about the effect of equity incentives were studied, considered that have a positive effect and negative effect, but a positive view is the mainstream. Third, relevant theoretical basis were studied, consider that paternalistic management of family enterprises and close equity and distrust to the professional managers is the source of the problems; the three major schools of new system economics conducted theoretical deduction from the perspective of entrusted agency and transaction cost and property right, considered that the implementation of equity incentive can make entrusted agency two-way contract and can make a mechanism reduce to transaction costs and unify fruit actions by protecting property rights system, provided a solid theoretical foundation for the family enterprises equity incentive. Fourth, the equity incentive program of Golden Express Group was designed, the benefits limited equity and installments payment was selected as equity incentive model, the amount of equity was defined from two dimensions in post value factor and factor of the relationship with the owner, and restriction of the implementation principle and the implementation elements was detail designed. Finally, the effect of the initial implementation was analyzed, considered that the implementation of equity incentive improved performance of company and the motivated, but also improved compensation and satisfaction about participating in decision making of the motivated.
