Corporate social responsibility (CSR) has become a worldwide problem of widespread concern. With the practice of worldwide social responsibility's unceasing development, a new requirement has been put forward for the theory of CSR research. And how to promote enter-prises to better fulfill their social responsibilities becomes an important problem.Based on the domestic regional distance, the research studies the impact of external re-gional institutional environments and internal corporate governance on corporate social perfor-mance, using data of listed companies in China from 2004 to 2007. The empirical results indicate government promoting marketization and market environment level have significantly positive effects with corporate social performance, ownership concentration, ownership balance, board size, board independence, board duality, the pay of managers, and managerial stockholding level have significantly negative effects with corporate social performance, and state holding, annual shareholders meeting times have no significant effect on corporate social performance. We con-clude that better institutional environments and effective corporate governance will promote Chinese firms actively fulfill their CSR.
