Of the environment in which private enterprises currently there are still many institutional barriers. That means I understand the several factors that restrict the construction of internal and external institution. In terms of the external systems of business, its restrictive factors mainly focused on the unfairness of the investment policies in countries; the financial system not perfect; the legal system not perfect; the price reform not in place and so on. For the above problems and causes, the article finally tries to propose solutions to the private enterprise system in a new way. The construction of the internal institution mostly focused on the innovation of Family Enterprise System and building the Modern Enterprise System. The construction of the external institution is conducted mainly from the aspects of the investment system, the financing system, the legal system, the industrial system, the government service administration.1 try to combine the theoretical study and practical development of private enterprises during the writing, analyze carefully relevant information and data, find the factors that impact the system of China's private enterprise, analyze the reasons and promote measures, explain and justify them by specific examples.
