Our country introduced respectively《The steel industry policies》and《The industrial restructuring and revitalization of the planning》in 2005 and 2009. The core content is improve the steel industrial concentration by mergers. Hebei is a big province of steel in our country, but there are many problems such as the concentration is not high, the scale small and scattered, high contamination and high consumption of resources, draggle technology and low product range. In the countury led and support , Tangshan Steel and Handan Steel formed Hebei Steel in June 2008, integration of the major state-ownd enterprises in Hebei province. To study this article to Hebei Steel , the purposes of research mainly by comparison to analyse the competitive of before and after the merger, qualitative analyse the combined effect of Hebei Steel, summary of the competitive adwantage and problem by normative analysis and empirical analysis, give the measures to improve competitiveness of Hebei Steel. It is significant to Hebei Steel to industry positioning and competitor analysis. It is valuable to Hebei Steel to constitute development strategy and adopt administrative measures.This paper introduced the merger process of Hebei Steel, compare the actuality between Hebei Steel and the equally large steel companies, there are a qualitative research the advantages and problem of Hebei Steel. Establish the indicator system of competitiveness of steel listed companies. Use of the 2008 and 2009 two years the annual report of the steel listed compaies and the Factor analysis indicates two years, the Hebei Steel is low in the list of steel listed compaies, the competitiveness is declined. It may be just to the restructured to Hebei Steel in a short period of not achieving an effective integrated resource. It is not perform the effects of the enterprise, unified management is still not smooth, cost share the cost of great influence on the competitiveness of the organization. From the factor score of the steel listed compaies in 2009, Hebei Steel has some advantages on scale and sustainable development ability, but there are some relatively weakness in the profitability and asset management level. So to the group first should be given priority to develop competitive product of high added value in order to enhance their profitability, second to strengthen the resources and assets management standards to enhance the manageability. Finally, through study abroad enterprises merger experience, The auther gave some exercisable proposal on the basis of normative analysis and empirical research to Hebei Steel, for example the integration of resources, the integration of scientific research, the integration of human and the integration of cultural, to improve the competitiveness of Hebei Steel.
