In our business, as chairman of the legal representative of the enterprise, he is in the Board's leadership, an is the central figure of top management team. So he largely controls firm's organization, planning and decision-making. This business is different from the West. So does the chairman of the human capital characteristics affect the performance of the important factors. In the study of human capital of top management teams, the first thing to consider is the chairman of the individual human capital characteristics'affect on firm performance, and the affect of other members of the TMT is small, which is more consistent with China's actual situation. Therefore, this study will work on how does the chairman'human capital characteristics affect the business performance,and which chairman of Human Capital is in a major impact on business performance characteristics.We know from the theory of corporate governance, board of directors by the shareholders of the commission, responsible for the company's business decision-making and supervision of the management, so the Board and the Company's operating results are closely related. Known by the group decision theory, decision-making chairman of the board as a corporate leader in the development of the company is bound by the decisions of other members of the board, thus limiting the impact of their business. This article features the board of directors as an important variable, that would be chairman of the board characteristics of human capital characteristics and firm performance related impact.In this paper, I collected data of 421 companies from Shanghai and Shenzhen stork market,to study the relations between chairman's human capital characteristics and firm performance.This study came to the conclusion, chairman's age, years of education, experience of management of the enterprise,weather has a social part-time affect business performance. This study selects characteristics of the two important indicators of the Board:Board size and percentage of independent directors, as adjusted variables. The study draws the relationship between chairman's human capital characteristics and firm performance increases with board size decreased, and the relationship increases with a higher proportion of independent.As the actual situation in China, the study analyzes the practical significance of this result, to improve the institutional board of directors and chairman of the selection mechanism for some of the recommendations. In our business, to select the chairman,company should increase the recognition of qualifications; management experience in the business can help operators improve business perfonnance, so you can give more consideration to hire chairman within the company; social part-time as chairman of NPC deputies and CPPCC members are the embodiment of social resources, and is conducive to corporate management, the social part-time chairman of the situation is an important study indicators. Appropriately increasing the board size and proportion of independent directors, can weaken the impact of chairman on business performance, and to avoid dogmatism and loss of business, which are some suggestions for the enterprises to improve the board agencies.
