From the founding of the PRC, the executives incentive mechanism of state-owned enterprises have been changing for a long period. In the period of pushing the application of economic calculation system, in the period of "the great leap" and the great culture revolution, in the period of improvement and rectification and in the period of the reform and opening, the executives incentive mechanism of state-owned enterprises have different characteristics. Nowadays, the mechanism is moving towards modern enterprise system based on the property rights reform. This history shows the basical discipline of institutional change such as path dependence, path alternation and so on. In this history, government is always the fatal power of the institutional change. The change of state's income and cost is the main cause of the institutional change. Meanwhile, ideology plays an important role in the incentive mechanism of state-owned enterprises.Nowadays, the executive incentive mechanism of state-owned enterprises basically suits the needs of socialism market economy. However, there are always some problems in some industry. For instance, there are the bureaucracy of authorization system, the equalitarianism of salary system, the marginalization of spiritual incentive system. Therefore state-owned enterprises should rebuild executives'role, clear the of scope of incentive mechanism, reform stock incentive, strengthen the security system, and make spiritual incentive effective.
