The board of directors is bridge connected with the management andshareholders, a core position in company management, and its operation directlyaffect enterprise performance. And whith the board can normally operation or not, itsinternal structure is a most important factors. The construction of board of directorsof the our country competitive state-owned companies is the most important instate-owned enterprises reform, to the bottom of2006,has already formed thestandard board structure. But whether The construction of the board of directorsinitially established you produce positive influence on performance? This paperexpected to research the relationship between performance of the company and thestructural characteristics, to optimize the internal structure of the board of directors,and finally promote competitive state-owned listed companies better develop.The main body part is to use the way of combination of the theory and empiricalstudies, first theoretically analysis the relationship between the the size of the board,the proportion of the independent directors, professional committee chairman andgeneral manager, two position in directors proportion state and and performance, andto make the research hypotheses, then, with2005to2010years for data interval,selection of China's Shanghai and deep two city before December31,2004of the86listed trading competitive state-owned listed companies as the research object, usingthe correlation analysis and regression analysis to study the influence of the structureof board and the company performance, and the results show that: the competitivestate-owned listed companies the size of the board and performance is on the contraryU conic relationship; The proportion of the independent directors and performancenot correlated; Two hats separation is beneficial to enhancing company performance;Special committee with positive correlation between the number of performance;Stationed directors proportion and performance positive correlativity.At last, according to problems reflected by the empirical results, throw out asuggestion putting forward to improve management level of the state-ownedecompany.keep reasonable, moderate the size;Strengthen construction of theindependent system, optimize internal components;the board of directors structure setup depending on strategy;Strengthen the construction of professional committee,improve the functioning of the board efficiency;Control the number of indirector,strengthening its political leadership.
