The Study On The Legislation Of Corporate Social Responsibility

The theory of corporate social responsibility has been introduced from abroad forseveral years. The developed capitalist countries have more perfect market economythan our country. As the accumulation of capital, the countries also have many socialproblems, such as the gap between rich and poor increase gradually, and the laborconflicts are becoming acute, and the environmental pollution is also more and moreserious, and so on. All of these impel the developed countries to pay more attention tothe coordinated growth between the corporation and the social. They get some matureachievement and experience, when they solve these problems. During the process, theyget the early theory of the corporate social responsibility.The most important thing is rule of law, to build the reasonable system of corporatesocial responsibility in China. The basic functions of law in promoting the building ofthe corporate social responsibility are that we should establish the system of thecorporate social responsibility, to create the constraint condition of the profitmaximization to carry out the responsibility; on the other hand, we should formulate theappropriate interest that the corporations get. And we should respect the autonomy ofthe corporation and pay more attention to the vitality in a business enterprise. At present,the major reason in the social responsibility is the shortage of law. And this has closerelationship with the imperfect of the legislation, law enforcement and the justice. Sohow to strengthen the system of the legislation, law enforcement and the justice is thecore to build the corporate social responsibility in China.Besides the introduction and conclusion, there are four parts in the article.In the first part, it summarizes the developmental process of the corporate socialresponsibility, and it also tells us the necessity to strengthen the legislation of thecorporate social responsibility from the major rule of the legal responsibility in thecorporate social responsibility. In the second part, it introduces the legislative survey ofthe corporate social responsibility in some important developed countries, and it alsotells us some advanced experience which we can learn. In the third part, the articleanalysis the current situation of the legal system about the corporate socialresponsibility in China, based on the actual condition of our country. In the last part, it points out the defects legal system about the corporate social responsibility in China,and gives us some suggestion to perfect it, according to its situation.
