The Third Plenary Session of the18th Central Committee advocated companiesto undertake their social responsibilities in top-level design, and put forward thecourse of the reform about the structure of social governance and the environmentalprotection. The Plenary Session required the companies to change their roles whichjust seek the economical benefic and ignore the influence of social and environment,and take part in social governance and construction of ecological civilization. Thegradual legislation of corporate social responsibility (CSR) has been the internalrequirement of companies and social development. The legal science has manyresearch about CSR. The writer will pay attentions to some questions below: the legalconnotation of CSR; CSR and legal liability, and the discrimination of moralresponsibility; the scope of legal liability about the CSR and how to complete thelegal system of CSR finally.This article is consisted of five parts below. The First part is the abstract of CSR.First, the origin of thought has been combed; then, the legal connotation of CSR hasbeen defined, and discriminated the relationship between CSR, legal liability andmoral responsibility; last, this article analysis the legal feature of CSR. In second part,the paper has legitimacy theory analysis about CSR and discuss the general content ofthe CSR in the basic view of the law and economic. The third part is about thesituation analysis of the government regulation and legislation of CSR. The fourthpart is the discussion about the relevant legal practice of foreign CSR and summarizesthe relevant enlightenment and reference to our country. The fifth part proposes themeasure to complete the legal system about CSR in our country.
