Since the1990s, in order to conform to development reality of the internal governance structure of modern company, Various countries legislation expanded the power limits of board of directors and limited shareholders’power, then board, board of directors became the core of company organization, which always abuse its strong power to weaken major shareholders’control over the company and damage shareholders’benefits, it not only violates legislative intent of Corporation Law, but easily causes chaos of the company internal structure, so that it will infuence the company stable development.Through the analysis on the case about the battle for control over Gome company, the paper demonstrates historical figures, legal reasons and system improvement about the power abusement of board for control over the company, this paper is divided into three parts:The first part introduces case review and raise the issue which is that there is the power abusement of board in the battle of control over the company; the second part introduce the legal reasons of abusement of board in the battle of control over Gome company from three aspects, which are the choice of corporate governance structures, check and balance of powers between board of directors and board of shareholders, and check and balance in the board of directors; the three part introduce raise severary proposals of how to improve corporate governance structures and set up the mechanism of balance of power in the company in case the event like the battle for control over Gome comes up.
