With the development of China’s market economy,the contributions of theshareholders increasingly diverse in the form.Intangible assets are widely used as aspecial form of capital contributions.after several years accumulated experience inMarket economy and draw on advanced foreign law.in 2005,our company lawsubstantially modified,Intangible assets are more operable,More in line with therequirements of the market economy.However,because of the relative backwardnessof China’s legislation ,there are still occurs in many intangible assets issues inPractice.The judicialing the practice,it analyze the issue of intangible assets in thispaper.The paper is divided into four parts.General theoretical basis for intangibleassets.Before in the discussion,the paper firstly describes the theoretical basis ofintangible assetsand Clears the intangible assets of the concept andcharacteristics.then,with the law,discusses the eligibility conditions of China’sintangible assets.In intangible assets of the eligibility conditions, discusses the subjectof eligibility conditions and procedural requirements for intangible assets.That thesubject of intangible assets must be able to use monetary valuation and transferred bylaw;the procedural requirements that the intangible assets must be programed theValue assessment and transfered of ownership of intangible assets and verification .Chapter II describes that the land use rights is funded for .This chapter, startingfrom the case,first discussed land use rights funded requirements from the overall,andPoints out that the land contribution can only be land use rights and the right must befunded is completely right.Described the contribution of land for constructionfinancing and land contract and management rights.Construction land were investedand the time period described in the contribution of land for construction.Pointed outthe contribution of the right to land contractual management practice limit the right tocontracted management funded the problem and improve the proposals.Chapter III describes Intellectual Property Investment.Intellectual Property Investment is the most common practice And more practical issues.So This chapterfor this article focuses.This article focuses on the proportion of Intellectual PropertyInvestment,Intellectual Property Investment Assessment, Intellectual PropertyInvestment civil liability.Described the proportion of investment in the proportion ofinvestment whether it should restrict, how the limit is reasonable and limit whatfactors should be considered in the three areas.This paper analyzes the problem in thepatent, trademark,copyright that should be noted that assessment of the IntellectualProperty Investment.Civil Liability for Intellectual Property Investment describes abreach of intellectual property funded, responsibility.Chapter IV for the equity contribution.The chapter is starting from the case,which focused on the equity contribution limits and equity-funded assessment.In thischapter, it analysis the priority of shareholders and the shareholders’ capitalcontribution and equity contribution of the special assessment and standards.
