The GEM Listed Companies Disclosure Of Patent Information System Research

The system of information disclosure is the important guarantee for stock market to trade fairly and to promote the innovation of science and technology. Patent is a high-tech enterprise’s important intangible assets and patent information disclosure system is the necessary equipment for the interests of investors and the GEM market prosperity. Since "patent door" incident happened in2010, domestic scholars have made many researches and put forward many valuable suggestions. However,listed company intellectual property information disclosure is the main part,The "patent door" incident is treated as the background. In this paper,145GEM listed companies in2011Annual Report are the objects for analyzing with the"2010patent door" incident considered and foreign patent information disclosure system refereed to so as to do the Chinese listed companies on GEM disclosure of patent information research. Through the analysis, it finds that the contents are mainly untrue, inaccurate and incomplete disclosure. As for time and other aspects, disclosure is not timely and fair. In view of the above problems, this paper analyses the reason of them from consciousness, interest, legal norms, the violation cost and attitude. Finally, according to results of the analysis, it puts forward five proposals:one, popularize the intellectual property education; two, encourage and guide the GEM listed corporate to disclose the patent information voluntarily; three, develop a unified and detailed patent information disclosure rules; four, increase the civil liability to disclose patent information illegally; five, upgrade the professional service organization and the patent quality of disclosure obligors.
