China’s domestic companies’ overseas listing and return investment has its special historical andrealistic background. Our country related foreign investment and financing law question triggered byour domestic companies’ overseas listing and return investment activities has great research value. Thepurpose of this study is through our company overseas listing and return investment problems broughtabout by the legal thinking, reflecting the main problems of China’s current foreign investment andfinancing law that the domain exists, in putting forward questions and analysis, ang putting forwardcorresponding solutions, designed in accordance with the reality of our country and developmentrequirements of the commercial law system, make it become the important component of the socialismwith Chinese characteristics legal system. This research take the following research methods, the first isthe method of empirical analysis, mainly for the Chinese companies’ overseas listing and returninvestment analysis of typical cases. Followed by the method of value analysis, the company overseaslisting and return investment phenomenon existing advantages and disadvantages, as well as the legaladjustment direction analysis. Once again the method of comparative study, comparing the relevant lawsin our country before and after the change of specific conditions and effects. And the method ofhistorical analysis, to our company overseas listing and return investment legal system developmentcourse research. The last is the logic analysis method, draw lessons from our country to foreigninvestment and financing of existing legal system, put forward to accord with the requirements of thefuture development of the legal system design. After the above method and comprehensive analysis,the corresponding results obtained. The results of this research is to establish and promote our domesticcompany overseas listing and return investment commercial activities for the effective operation by thecommercial law system. Related commercial legislation should be to our domestic company overseaslisting and return investment commercial activities in the leagal system to give support and protection,so that the utilization of foreign capital will become healthy and orderly smoothly. The innovation ofthis article is as follows: the theory for the utilization of foreign capital by integrated treatment, andlegislation point of view of the establishment of utilization of foreign direct investment and indirectinvestment combination of commercial legal system, solution of legal problems in the field ofinvestment and financing overseas listed and foreign return investment, and the construction ofsocialism commercial legal system with Chinese characteristics for utilization of foreign capital.
