To our country state-owned company, external supervision is weak. Therefore inorder to strengthen the state-owned company’s internal supervision and to ensurestate-owned asset could maintains or rises its value. The urgent need is to strengthen theforces of internal supervision of state-owned companies. There are three supervisionsystems in internal supervision mechanism of our country state-owned company includingcorporate government supervision system.party committee supervision system andemployee democracy supervision system.Our country state-owned company practice, the relationship between supervisionorganizations is not well coordinated. The rule of supervision duty is similar and someduty of supervision is on vacancy. This will not only make the supervision duty is not clearbut also the vacancy in duty of could appear to compete for power.and lack effectivechecks and balances between mechanism and lack standard communication mode ofcooperation.This paper firstly state the characteristics of a wholly state-owned company, And ourcountry state-owned company internal supervision mechanism is classified to threesupervision system and four major relationships between them. And discuss the existingproblems in it including the supervision duty of internal organization for the state-ownedcompany, the each other’s balance relation mode and the communicating cooperationmode. And through drawing lessons from German wholly state-owned companysupervision model, We need establish the Chinese characteristics of mutual relations in thesolely state-owned company internal supervision mechanism including four majorrelationships that is the relationship between board of directors and board of supervisors,the relationship between board of directors and party relationship, the relationship betweenboard of directors and workers congress relationship and the relationship between theboard of supervisors and workers congress. And we put forward to increase or furtherimprove the corresponding terms of “company law". Meanwhile, we make someinnovative research on the aspect of the legal system.
