The Study On The Legal Regulation Of China’s Limited Partnership Private Equity Fund

With the diversification of the development of capital market, private equityfund in our country has undergone rapid developments. With the revision of"Partnership Enterprise Law" in2006, the private equity fund typical forms oforganization——the limited partnership was established in China and it has laid asolid legal foundation for the establishment and development of China’s LimitedPartnership Private Equity Fund. This paper puts forward corresponding proposals toperfect our system of Limited Partnership Private Equity Fund Legal regulation fromthe angle of legal regulation, combined with related theory of limited partnershipprivate equity fund, the analysis of the current situation and problems of legalregulation of limited partnership private equity and drawing lessons from thedevelopment and legal experience of foreign limited partnership private equity fund.There are five parts altogether as follows except the introduction and conclusion:The first part is of the overview of relevant theoretical knowledge on the systemof Limited Partnership Private Equity Fund. It is mainly about overview of LimitedPartnership Private Equity Fund, the concept and legal features of limited partnershipprivate equity fund,the application of limited partnership in private equity fund andthe value of limited partnership private equity fund.The second part is of the oretical analysis of Limited Partnership Private EquityFund Regulation.It takes the analysis of basic organization structure and operationprocess of limited partnership private equity fund as the first step, combining theprincipal-agent theory and the theory of limited partnership for the analysis of limitedpartnership private equity fund internal governance mechanism and emphasizing theimportance of the limited partnership agreement.The third part is of a detailed conclusion of current situation of China’s LimitedPartnership Private Equity Fund Legal Regulation to the benefits of the analysis ofChina’s legal regulation problems mainly about the form of limited partnership,private equity contract,financing and exit,tax and regulation.The fourth part is of the examination of the development and regulation of foreign Limited Partnership Private Equity Fund,taking United States and Britain asthe examples.It introduced detailed regulation situation on the basis of theintroduction of limited partnership private equity fund development situation in thesetwo countries and carried on contrast analysis to put forward enlightenment andreference to our country.The fifth part is of on the basis of the existing problems of China’s limitedpartnership private equity fund regulation to put forward corresponding proposals tothe improvement of limited partnership, limited partnership contract system, fundoperation regulations, tax policy and regulatory aspects of the system.Final part is of the definite conclusion of this paper.
