The main topic of this paper introduces research background, research significance and system; Secondly to review and summarize the research achievements of scholars both in our country and abroad; Thirdly to describe the main research contents, research methods and the innovation of this paper.The second part, generally explain the connotation of limited partnership private equity, through the analysis of the characteristics of the limited partnership equity funds,describe that it is the advantage of its organizational form that the equity investment funds has its uniqueness.The third part, to analysis the present situation and problems of the limited partnership equity funds combining with the specific situation of the Chinese investment market and summarize the achievements in the process of development and the remaining imperfections and summarize the practical experience. To analyze and summarize the typical failure cases and draw useful experience so as to comb a developing road of limited partnership private equity fund.The fourth part, simply introduce the American and British legislative regulation and institutional design about limited partnership equity funds. This part uses the method of comparative analysis to compare the legal system of limited partnership private equity funds of the relevant countries and regions outside. Finally, conclude the experience and inspiration to the the development of the limited partnership equity funds combining withour country’s condition in the period of market economy transition. The fifth part,according to the former analysis, analyzes the existing difficulties and put forward to the advise to solve the difficulties and improve the limited partnership equity fund of china.The advise is mainly about how to improve relevant laws and how to widen the exit channels and improving the legislation of qualified investors and managers.
