With the improvement of Chinese economy, Chinese enterprises are accelerating the process of internationalization and taking part in economic globalization diversely. Overseas direct investment through mergers and acquisitions is an important aspect. This is the embodiment of Chinese integration into the global economy and also continuously improvement of strength. However, the road of these overseas M&A is not smooth. Intellectual property issues are top ones. Intellectual property is the goal of many enterprises to go abroad to acquire foreign companies. The successful acquisition and proper management of intellectual property are the important aspects of the evaluation of these acquisition. Through the analysis of typical cases of Chinese enterprises’overseas mergers and acquisitions, it is easy to find that intellectual property is always valued too high and intellectual property ownership sometimes has defects, then the management of these intellectual property is full of troubles. These problems are plagued by many ambitious Chinese enterprises. Therefore, with the focus on the intellectual property issues in the Chinese enterprises’ overseas mergers and acquisitions, this article researches on the measures taken by the government and enterprise including improving the value assessment system, constructing the examination mechanism of intellectual property, strengthening due diligence investigation about intellectual property improving the enterprises’ management of intellectual property, and so on.
