As an important part of improving national economy and people’s livelihood and promoting fairness and justice, charity plays a significant role in alleviating penury and helping the disabled and the orphans, especially in China. Our country is in the critical period of economic transition, changes in the political system and social restructuring. Social relations and interests become more complex and great changes have taken place in people’s thoughts and lifestyles. With the exacerbating of social conflicts and frequent natural disasters, our country has more demand for the development of the charitable organization. However, charitable organizations in our country are still in the initial stage. The imperfection of legal and supervision system and the blank of information disclosure mechanism make the charitable organization become deformity of survival and development, which leads to the public distrust for charity organization and hindering the development of charity, forming a vicious circle. Therefore, in order to create a healthy environment for the survival the development of the charitable organizations, how to get rid of internal and external difficulties faced by charitable organizations is a crucial task to promote social equity and justice and maintain social harmony and stability.Based on the above background, this paper uses the governance structure of Dalian Charity Federation of the present situation and problems as foothold to giving thorough analysis of Dalian Charity Federation’s problems in the structure of governance, according to the ownership and management separation theory, principal-agent theory and collaborative stakeholder theory. On the basis of learning from foreign charitable organizations’governance structure, this paper does some relevant research on perfecting the governance structure of charitable organizations, from the point of view of system and institution building. The purpose of this paper is to make up for the lack of domestic governance theoretical study and to solve the question of reality of imperfect governance structure of charitable organizations, chaotic management, internal control, lack of supervision mechanism and the missing of credibility.This paper contains five chapters:Chapter one, starting from the realistic background of difficulties faced by the survival and development of the charitable organization, this part discusses the theoretical and practical significance of the paper and expounds the research content, ideas and research methods by sorting, contrasting, summarizing the theoretical point of view of domestic and foreign experts and scholars in this field.Chapter two. it mainly focuses on the related governance theory of charitable organizations. This part makes clear the scope of the study of the governance structure of the charitable organization of this paper and formulates the theoretical basis of this paper with the definition of the concept and scope of this charitable organization.Chapter three, it gives an analysis of current situation of internal and external governor structure of Dalian Charity Federation by introducing an overview of it. Besides, this part points out the main question of unsound governance structure of Dalian Charity Federation, including mere formality of the highest authority, weak internal oversight, imperfect supervision and restraint mechanism, the lack of information disclosure mechanism as well as weak supervision of the media and public participation.Chapter four, it sums up the inspiration to build the governance structure of charitable organizations in our country. It is reached by systematically analyzing the governance structure and its advantages of some well-developed countries in charitable organization, such as the United States, the United Kingdom and Japan with remarkable results in reform.Chapter five, combined with the above analysis and research contents, it puts forward some relevant countermeasures for improvement of our charitable organizational governance structure, which can start with reconstruction of the Council, the Board of Supervisors of charitable organizations, strengthening the management of seniors of charity organization and reinventing the relationship between government, stakeholders and charitable organization.The innovation of this paper may lie in the following aspects. Firstly, this paper limits the scope of research to charitable system in addition to the Foundation, the Red Cross and overcomes the difficulties of unclear research subject and indistinct scope of research scope. At the same time, it selects Dalian Charity Federation as a case to make focused research on charitable system. Secondly, regarding the charitable organizational governance as the breakthrough point, this paper makes systematic analysis of problem existing in the governance structure of charitable organizations. Furthermore, in order to make research more focused, it breaks the level of research limitation on the relationship between charitable organizations and government, and relationship between charitable organization and civil society to some extent, which is made by charitable organizations at home and abroad. Thirdly, combined with company’s related governance theory, this paper introduces the separation of ownership and management theory, principal-agent theory and collaborative stakeholder theory to the research of charitable organizational governance structure, filling the blank of basic theory on this.
