The Research On The Management And Control Of Parent-subsidiary Corporate System

In order to adapt to the demands of enterprise organization changes, the enterprise group becomes one of the viable and common forms of organizational structure in the present economic social. In China, enterprise groups are mainly state-owned enterprises. The management systems and structures have obvious administrative features. The old model of the planned economy is manifested directly in the management system of the enterprise group. Therefore, the problem of management and control of the enterprise group has become the focus of the work in theory and practice community. Investigating the control theory, choosing a reasonable and effective management and control model, establishing a complete set of control system become urgent need of theoretical research and practice management. So, in-depth research on group management and control system is very important.This paper was separated into five chapters. The first chapter is introduction, In the second chapter, this paper introduced parent-subsidiary corporate theory, management and control theory. They are the theory foundation of the whole paper. The third chapter is the general Management and Control of Parent-subsidiary Corporate System. The fourth chapter is the core part of the theory. I analyse the key factors of management and control system, then build a dynamic model of management and control system. This model is strategy-oriented, based on the internal and external environments, mode and means of control. Its core contents are organizational structure, powers and responsibilities, processes and institutions. At last, analyse its operation mechanism. The fifth chapter is case study on S group. Through researching on the status quo of S parent-subsidiary corporate, analysing the problems in the project management and control, I apply this model to S group project management and optimize its management and control system. The sixth chapter is conclusion and outlookI hope this management and control model of parent-subsidiary corporate system can be recognized by the academic community and this model can help S-group improve its management and control capability. Also, I want this model can be applied to more research and practice.
