Three decades of the reform and opening up, China’s economic developed rapidly, has become the world’s second-largest economy, international economic status and international influence deepening beyond Europe, Japan and other countries. Accompanied by great social progress and people’s living standards greatly improved, and at the same time, but also opportunities for Chinese enterprises to participate in international competition. However, the opportunities and challenges always coexist, especially the open market in a globalized economic environment determining competitive object has crossed the traditional regional restrictions, is an international competition. The face of competition, the company has only constant innovation management concepts to increase R&D investment, actively seek external cooperation to enhance their core competitiveness, it has the ability to compete.Due to the economic system and the impact of national policies, China’s enterprises in cooperation with universities and research institutes, there are a number of obstacles, a direct result of the resources of the parties can not be integrated, each has its advantages in resources can not be demonstrated with play. The new R&D organization, is to summarize further depth profiling of its basic formation principle and basic characteristics, and optimized based on the current domestic and international research and development industry R&D cooperation mode with a typical reference. It generates for companies, universities and research institutes or other organizations to provide the theoretical basis for mutual cooperation. Formed on the basis of the R&D organization, both have positive significance to practice in organizational innovation, resource advantages, as well as cooperative and collaborative.In this paper, the method of combining qualitative analysis and quantitative analysis to elaborate the reason of the formation of a new R&D organization from internal and external macroeconomic factors, from incomplete information game with incomplete information game perspective proposed formation mechanism model, and model correlation analysis. Then, for the formation mechanism model, drawing on current research and development industry, some of the more popular R&D cooperation mode, the organizational model of the new R&D organization.The first part, mainly through access to domestic and international literature, analysis of the basic characteristics of the current R&D industry, mainly from the main purpose of the trust, income, results in five areas define the basic concepts of the new R&D organization.
