the farmers’specialized cooperatives(TFSC) is a product of the agricultural market economy. Through a coalition of farmers, it can form a powerful whole to participate in market transactions, which can compensate for the lack in technology, information and resources, and improve the farmers’market position. It can effectively resist the threats of scattered small-scale farmers in the fierce market competition conditions, better safeguard the interests of farmers, and promote the development of rural area and agriculture.Since the90’s of last century, agricultural economy in Shouguang City developed rapidly, TFSC has more than900, including vegetables production, vegetables processing, vegetables sales, livestock breeding, storage of agriculture products, agricultural machinery, grain and cotton cultivation,and other typesthe paper take the new system economics theory, the cooperative economics theory, and so on correlation theories as a foundation, through the questionnaire survey,. Survey the basic station, property rights mechanisms, internal governance mechanisms, and the interests of allocation mechanism, and so on, explore to improve TFSC in shouguang city. As the economically developed coastal county-level city in Shandong Province, research of TFSC in Shouguang City can give the development of TFSC in China, especially the development of TFSC in economically less developed areas to provide some reference.Chapter I, It mainly to include the research purpose, the significance of the paper, the domestic and overseas research summarizations, research method, research ideas, as well as innovation of the paper.Chapter II defined cooperative, rural specialized cooperative economic organizations, TFSC and the concept related to TFSC introduced new institutional economics, transaction cost theory, property rights theory, and the theroy related to cooperative economy.Chapter III presents the development status and characteristics of TFSC in Shouguang City and the basic station, property rights mechanisms, internal governance mechanisms in60TFSCs in Shouguang City by sampling survey. It is found that the number of TFSC had fast development;members income was generally increased, the majority of members have benefited; the distribution mechanism of interest was inadequate; property rights of TFSC was incomplete, it was not form a property rights owed to members; internal governance is undemocratic, there has the phenomena that few persons decided everything.Chapter IV introduced successful experience of the United States, Taiwan, Japan and Germany to develop TFSC. Chapter V, based on the research of domestic and international and the advanced experience of develop TFSC, and combined with the actual situation in Shouguang City, raised suggestions to eliminate constraints:to strengthen the support and protection of TFSC by guiding farmers to know the farmer cooperatives law, the implementation of the state’s tax, financial and other preferential policies, improving the levels of service, etc; to strengthen skills training for members through a variety of ways in terms of technology, management and operation; to establish a clear system of property rights through improving various rules and regulations; to formate the distribution of benefits mechanism that dominated by patronage amount allocated surplus, supplymenting by dividend complement;both from the government and TFSC, to establish a perfect safeguard mechanism withstand natural and market risks through a number of measures.
