There is great relationship between the gradually slip of insurance in China after high speed in development and the downturn of economy leading to the worse deficit of investment which is as one of coal business, while the misleading sale of life insurance is more and more outstanding.Misleading sale has been along with the development of life insurance, and with the innovation of products in commercial life insurance to meet the variety of social needs,the styles and ways of misleading sale has been increasing.The amounts of consumers’ complaints has been to the peak,which appeared in sickness insurance transferring to financial life insurance. As insurance is a deal between policyholder and insurer that society blame misleading sale to the insurance sellers’professional immoral, while there are some defects in insurance company for insurance seller acting as agent for company. Supervisory apartment take actions to supervise and punish the dishonesty of the agent and company,but the results were not obvious and the amounts of misleading sale are increasing, what’s worse, the forms tend to more invisible and diverse.Although misleading sale should blame to insurance company and seller from the surface, it’s not enough and researches about the deeply reasons of misleading are getting more and more.As the risks leading to misleading are so many and complicated, what we have known are the analysis of risks from partial direction or parts and there are not systemic structure.Most are about qualitative analysis which can not apply to control misleading in practice.In my paper,firstly I introduce the background of misleading,illustrate the meaning of topic、the innovations and defects. Then summarize the already researches about New Institutional Economics and Game Theory from both domestic and abroad. Next I introduce the concept,degree,form and harm of misleading sale in commercial life insurance.In the forth chapter,summarize all risks to mislead sale from eight aspects like social,law,company and so on, subdivide the eight first factors into fifty second factors, design questionnaire including all the factors,collect result from different staffs in life insurance companies depending on professional online questionnaire platform,use Fuzzy Comprehensive Evaluation and AHP to handle the results to get the rank of eight factors and analysis the rank. In the fifth chapter,divide the eight factors into market,country and social values and analysis the deeply reseasons with the help of New Institutional Economics and Game Theory from. Put forward some corresponding actions to solve misleading based on the analysis in both chapter four and five. Finally do some concluding about the defects in paper and further research.
