Equity incentive is a major incentive for Western companies, and it’s also the experimental implementation mode of Chinese enterprises. The paper focuses on the study of the private business incentive, starting from the basic concepts, exploring the importance of incentive stock options, which combines with the characteristics of private enterprises. The article discusses the necessity and feasibility in the deeper step in order to find a way to solve the problem of private enterprise talent, and provides an idea for private enterprisesThe private enterprises are the foundation of the national economy. They have an very important influence, as well as the great potential of their own development, which take rapid progress in the reform and opening up30years. But with the development and the growth of the business, problems are coming up. The flow of talent between the enterprise is the development trend, which will cause a great impact on the development of enterprisess。So how to attract and retain talented people is the key to the sustainable development, but it’s also the hardest problem. Equity incentive is a very important step to establish a modern enterprise system and implement the modern enterprise system of property rights. It is good to guide managers’behavior and participating the competition.The paper adopts methods of the case studies and empirical researches and refers to a large number of books and materials, mostly it combines the status of the company as well as the author’s own and manage experience. The fifth department of ZM shares incentive conduct empirical analysis and puts forward recommendations for improvements for the company’s program.
