With the rise of the modern market economics, open, transparent and symmetricinformation is playing an more and more important role of resourcing allocation inthe market. As financial intermediaries, commercial banks are inevitably required todisclosure information openly, transparently and symmetrically.Since the “BaselCapital Accord Ⅱ” took market constraints as one of the important pillars of thecommercial bank supervision，information disclosure is getting more attention fromthe academic and practical aspects as an important part of the market constraints.China also emphasize Information Disclosure of Commercial Banks now, and thereare many detailed regulations in the legal documents drawn up by PBC、CBRC andSFC. However, the information disclosure system in China is paying attention tolisted banks, financial and accounting information, and shareholders’ interests mainlyfrom the point of the governmental regulatory. It has limitations at discloser、contentand object of information disclosure, ignores different needs of different discloserand information from the relevant stakeholders. This article try to take the protectionof stakeholder as legal value system of commercial banks information disclosure,and give suggestion that improving bank information disclosure legal system in ourcountry.This article is divided into four parts，with the research methods of theoreticalanalysis，comparative analysis and so on. ChapterⅠis about to the interpretation ofthe information disclosure system of commercial banks. According to differentdefinitions of the concept, the article gives the analysis of theoretical basis ineconomics and legal, and the special significance, of the legal system ofcommercial banks information disclosure Chapter Ⅱ is the comparative study ofthe information disclosure legal system of commercial banks at home and abroad.Comparative study describes the information disclosure system of the BaselCommittee, the United States, New Zealand and Hong Kong, China’s commercialbanks, and draw useful inspiration, then summarize some inspiration for our country. Chapter Ⅲ is the actualities and analysis to the legal system of informationdisclosure of Chinese commercial banks. The article explains the relevant provisionsof the disclosure legal system in the views of legislative aspect and regulatory bodies,then focus on analysing deficiencies of Chinese legal system from the points oflegislation and practice. Chapter Ⅳ tells the suggestion of improving the legalsystem of Chinese commercial banks information disclosure. According to theformer in this paper, the legislative value of protecting stakeholders is the key wayfor the legal system development of Chinese banks information disclosure. It thengives some advice to improve the legal system of commercial banks informationdisclosure from the points of legislation and practice.
