The VIE mode Provides initial funding for China’shigh-tech industry, as well as great support at the technology. To some extent, it also isplaying an indelible role on the the high-tech industry’s development. By lack of legalsupervision system and associated conditions, VIE mode has also brought a certaindegree of social and economic problems.At the first part,I will discuss the VIE mode’s background、concepts and itsorigins, as well as details of VIE mode’s structural framing, meaning, characteristicand essence of the pattern. At the second part, I will talk about the Advantages anddisadvantages of VIE mode. I will also introduce the rise and prosperity of VIE modein our country. We come to a conclusion that VIE mode demand strict controls. Inthird part,I will talk about the VIE mode’ basic architecture framework,the basiccontent, constituent elements of the VIE mode.I wll try to find the problems in thecurrent society. In the fourth part, I will talk about whether the VIE mode in our legalenvironment is legal or not.I still take a conclusion that the purpose of the VIE modeconstruct is to cover their illegal aim.In This fifth part, I analyze the VIE mode’soperational risk from the corporate and government management in order to getresults of risk management and control approaches and improved governance. Part VIand the VII part of this paper describes the inadequacy of the existing regulatoryregime for foreign investment in China, and how to avoid risks of VIE mode andestablish a sound legal system and regulatory system that will VIE mode applicationin China into the legal system and stabilizing track. |
