After nearly30years of efforts, our country already has developed to diversified commercial bank coexist system from the traditional planned economic system of the people’s bank of China "unify the whole country".The change makes the country’s four big state-owned commercial Banks occupies a place in the international banking. Our country commercial banks have also changed from internal governance structure and external governance structure. China’s current governance structure of state-owned commercial Banks is the feature of unity, the ownership and executive power ownership right and operation right. This kind of structure is beneficial to the use of the country’s political advantage and ensure that the power of the national credit, and to promote the rapid growth of state-owned commercial Banks. However, there is a lot of problems in the state-owned commercial Banks in the process of development and accumulated, mainly is the bad assets on the high side, capital shortage, low management level, and lack of business innovation ability. In such a system it is hard to adapt to the state-owned commercial Banks and the establishment of socialist market economy, is also very difficult national economy structure adjustment, allocation of scarce capital resources do strong backing. The main problems of the governance structure of state-owned commercial Banks is that there is a lot of flaws that already more and more significantly affect the state-owned commercial bank’s business efficiency and market competitiveness.In order to ensure good operating performance of the state-owned commercial banks, to prevent financial risks, and to guarantee a sound and rapid development of the whole national economy, the four major commercial banks should shoulder the important task of reform and development, assume the responsibility of building and improving of corporate governance structure as well as an effective governing mechanism. Reviewed the corporate governance structure of the theory and practice, this paper analyzed the domestic and foreign commercial Banks corporate governance structure model selection and the corporation governance structure of the China’s four big state-owned commercial bank the present situation, and gives the definition and model of the effective governance structure construction to state-owned commercial Banks, and puts forward the effective governance structure model of domestic commercial bank, and gives relevant measures after analysing the current governance structure of the domestic state-owned commercial banks.
