Cross-border M&A has promoted the exchanges of the world economy and become and important bridge of economic globalization. More and more enterprises go abroad by Cross-border M&A to realize their own strategic. With the economic of China take-off and the strength of the corporation is growing, Private Enterprises developed rapidly, Private enterprises stand out in China’s economic status. Many private companies have already got the ability of transnational mergers and acquisitions and become a member of the transnational merger and acquisition tide. At present, there are little study on private enterprises, especially the study of corporation will face all kinds of internal and external obstacles. So, this article is intended to study the obstacles encountered of the private enterprises cross-border M&A, and put forward solutions to obstacles.By collecting private enterprises international M&A(Mergers and Acquisitions) cases between the year2001and2012, this dissertation uses the data to illustrate the annual amount, scale est. of the private enterprise M&A, based on which the driving factors of the private enterprise M&A are divided into2sides as internal and external ones, then trying to explore the certain driving factors of these cross-border M&A behaviors from3perspectives called international economic, domestic economic and inner demands. After that is the analysis of the barriers of the border cross M&A, which are also divided into3perspectives go as the host and home country’s risks and barriers, and the enterprise it self’s barriers, which separately followed by several points sum to13, for instance, the political, cultural, mediated, merging experience, financing, est. At last, this dissertation carries out the corresponding solutions from the government and enterprise perspectives based on the barriers analyzed in earlier parts, guiding the government full-filling the measures of private enterprise M&A, and persuading the enterprises paying more attention on risks and strengthen themselves by making up for their deficiencies in M&A.
