As a strategic tool for enterprises to achieve external expansion, M&A can not onlyacquire the complementary advantages, create a complete industrial chain, enhance the corecompetitiveness of enterprises, but also promote the integration of the industry. In thebackground of economic globalization and Chinese economic transformation anddevelopment, M&A is gradually showing its strong vitality, and becoming an importantoption for Chinese enterprises to get rapid development.M&A is a high risk and high income gamble, it is a very complex economic activity,compared with the rapid development of mergers and acquisitions, the success rate is not veryhigh. M&A theory research and practice proves that integration is the key factor to thesuccess of M&A. Therefore, research on M&A theory is a requirement put forward byenterprise M&A practice.The article combines theory with practice in the research method, combining empiricalwith specification, comprehensively using case study and comparative analysis method, doresearch on M&A based on the theory of system management. The first two chapters areintroductions of the paper’s background, ideas and contents, and a summary of M&A theoryon the basis of former research. The third chapter analyzed the current situation and existingproblems in our country based on the M&A practice, made use of statistical data and newsinformation on mergers and acquisitions. The fourth and fifth chapter analyzed the coreelements of M&A integration system, and the logical links between these elements and theexternal supply chain of integration based on the perspective of system management, finallyconstructs the system integration framework. In order to make the research more practical andvaluable, the case studies in this paper are typical, choosing the success and failure case as acomparison. The article’ final goal lies in combining Chinese M&A practice, and the formersituation and problems of M&A in China, start from the problem, put forward correspondingsuggestions, so as to have a guiding significance to Chinese M&A integration practice.
