Under the background of globalization, geographically vertical disintegration ofeconomic activities based on labor division and cooperation of global value chain has madevalue creation must be completed by several enterprises together across the regions, and becoordinated by value chain governor. With practical survey and analysis of research data,beginning with study of market structure of value chain’s each intermediate link, this papertries to discuss reasons for determination of value chain governor. First, we theoreticallydiscuss how market structure of value chain’s each intermediate link has an effect on rightdistribution, profit distribution and transaction cost apportionments of enterprises embeddedin value chain, in order to decide value chain governor. Then we analyze market structure ofintermediate link of value chain of mobile communication industry in2G and3G, to studydetermination mechanism of governor. Finally this paper draws a conclusion that, marketstructure of each intermediate link in value chain decides value chain governor by impactingon profit level, right distribution and transaction cost. Specifically speaking, the moremonopolized market structure of the link in value chain is, the more profit enterprises willmake, the more power they will gain and the less cost they will share, so that they will morelikely be the value chain governor. On the contrary, the more competent market structure ofthe link in value chain is, the more likely it will become the governed. So no matter it’s ofdeveloped or developing countries, by being the monopolist of the market it’s in and byleveling up entry threshold of the link, every firm is able to become the value chain governor.
