With the further of economic globalization, the number and size of the multinational companies are expanding. At the same time, the international direct investment flows reached the unprecedented level and China’s outward direct investment has got greater development that the investment subject is state large-medium enterprises. Private economy in China has been developing steadily and has already became a main force of promoting our economic growth, but its further development is constrained by the imperfect system、inclined policy、international competitive environment. From the view of research, although the research works and results of FDI is quite rich, but the achievements on private enterprises are very few.In this paper, Firstly, the maps of the development of China’s private enterprises and the spatial distribution of FDI are made by the ORIGIN and ARCGIS software on the basis of theoretical analysis. Secondly, the location factors are analyzed by the grey relational analysis method. Finally, the comments and suggestions are proposed on the basis of the comprehensive qualitative and quantitative analysis. The article’s innovation lies in the research object which is relatively new, and the study of spatial distribution focusing on states, not country.The research conclusions are as follows:(1) China’s private enterprises have become the major force of China’s economic development after30years of development. The registered capital and households of private enterprises continue to grow steadily; industrial structure is becoming reasonable, the proportion of tertiary industry is up to85.81%in the number of households by the end of2010, the absorbing employment ability is far beyond the state-owned enterprises, but the regional distribution of private enterprises is out of balance that the development of Jiangsu and Zhejiang provinces is best. At present, the private enterprise has a growing market share of FDI and widely range with the advantages and motivations.(2) By the end of2011, China’s private enterprises have investment in37states in U.S and the number of projects and amount are growing, among them, New York and California is at most and New Jersey、Illinois、Minnesota and North Carolina is at least. The spatial distribution of China’s private enterprises in U.S presents in the "U" shaped: north-eastern region is at most, east coast、California and Texas are followed, the central of United States is at least. According to the regional division of the United States, this article concludes that the second partition-the Atlantic zone and the nine-partition-the Pacific area are absorbed the most of FDI.(3) The industry of China’s private enterprises investment in the United States mainly concentrated in the electronics&IT and finance&bus service, logistics and metals and minerals is relatively less. The spatial distribution of each industry also has a greater difference.(4) Finally, on the basis of comprehensive analysis of the investment environment, the article uses the grey correlation analysis method to rank the impact factor. The conclusion is that the factors of correlation degree from high to low, respectively, are production and import taxes、GDP、the output value of the financial and insurance industry、imports of general merchandise amount、the number of patents、population、 the quantity of labor force、domestic tourism expenditure、exports of general merchandise amount、highway mileage、area、personal income per capita、the population coverage of health insurance、internet usage、the population of higher education and the crime rate. The conclusion shows that China’s private enterprises’ FDI in U.S pay more attention to the economic factors than social and infrastructure factor.
