The ’Sarbanes-Oxley Act’(SOX), enacted by US federal government, on July30th2002, requires that the top management of all American listed companies must individually certify the accuracy of financial information and internal control. Also, SOX increases the independence of the outside auditors who review the accuracy of corporate financial statements, and increases the oversight role of boards of directors. The purpose of SOX is to recover public confidence in capital markets. To enhance and standardize enterprise internal control, increase their management level and awareness of risk prevention, promote sustainable development, and protect socialistic economic order, the State-owned Assets Supervision and Administration Commission of the State Council (SASAC) issued, on.June6th2006,’Central Enterprises Comprehensive Risk Management Guidelines’. Furthermore, on2008, Ministry of Finance, China Securities Regulatory Commission, National Audit Office, China Banking Regulatory Commission, China Insurance Regulatory Commission, jointly issued ’Basic Internal Control Norms for Enterprises’. Based on this background, China-Unicom Changchun Branch considered it urgent to build an Internal Control System, which would not only follow the Norms but also be applicable to herself. According to the characteristics of system building, as well as the actual situation of China-Unicom Changchun Branch, the author believes that to implement this system via the way of project management is necessary and feasible. This text focuses on the implementation of project management theory in building Internal Control System, and does research into project management methods of different stages, including start-up, planning, implementing, maintaining and optimizing.The full text is divided into5chapters. Chapter1introduces briefly the building projects of Internal Control System in China-Unicom Changchun Branch, and summarizes the project backgrounds, start reasons, meanings, prospect, target, principles, feasibility of implementing project management, and the significance of research. Chapter2depicts the project management theory, which is implemented in building Internal Control System in China-Unicom Changchun Branch. Chapter3, as the kernel of this text, depicts the implementation of project management theory. This part is arranged according to the cycle of project management, which includes start-up, planning, implementing, maintaining and optimizing, and is depicted based on the actual goings of China-Unicom Changchun Branch. Chapter4is the assessment of effect, and introduces the changes on both management philosophy of enterprise and risk awareness of employees. Chapter5summarizes the key points, and makes prospect forecast for the project.China-Unicom, as one of the most important state-owned telecommunication enterprises, has unique characteristics on building this kind of projects, while the progress also reflects the management level and idea. Therefore, it’s of high importance and priority to research such a project.
