With the advancement of economic reform began from1978, the reform of state-owned enterprises has lasted for30years, from the initial streamlining administration and delegating power, expanding power and transfering profit to the present property rights reform and system innovation. To some degree, the core concept of SOE reform is to establishing efficient motivation and restricion mechanism for entrepreneurs. On the basis of analysing present condition and motivation mechanism of Nanjing Postel, this thesis designs a stockholder’s rights motivation system on the strength of option modal for Nanjing Postel and also gives suggestions to solve the problems which may meet during operation.This thesis combines the research method of case study with personal interview, questionnaire, comparative analyzing. When analyzing present internal condition of Postel, it contrasts and compares the basic condition including financial data and stockholder’s rights motivation system between Postel and its major competitors. The research method of personal interview and questionnaire are used to analyze the present motivation mechanism for entrepreneurs. Case study is applied to design stockholder’s rights motivation for entrepreneurs.This thesis consist of five chapters. The first part is the introduction, illustrating the background information, significance, research method, framework and technical route. The second part proceeds with relevant theories of stockholder’s rights motivation, and introduces the basic concept and situation of study at home and abroad. The third chapter describes the present conditions and mechanism defects in entrepreneurs motivation. The fourth part is the main body and introduces the objective and content of stockholder’s rights motivation designing. The last chapter gives the ways to deal with the problems which may meet.There are two points of think. The first is to research the stockholder’s rights motivation under the background of state-owned enterprises reform. The second point is to predict the implementation difficulties and give possible solutions, as the reference for other enterprises.
