Since the1980s, the institutional investors in the Western securities market has enjoyed rapid development, Its behavior is also showing the difference from the traditional short-term gain for long-term investments steering, and gradually participate in corporate governance among listed companies. Under the influence of Western Securities Market, our securities market is also undergoing from the retail market structure as the main institutional investors to the market structure as the main historic change. Institutional investors gradually become the leading force in the development of the capital market.With the establishment of GEM, China’s capital market system was gradually improved. In order to better promote China’s development of institutional investors GEM, GEM performance of listed companies to maintain steady growth, research institutions, investors and the performance of companies listed on GEM correlation between great significance. Firstly, to sort out the relevant theoretical analyzes related research, analyzes institutional investor participation in corporate governance motives and means, and institutional investors holding on agency costs as the starting point, namely, institutional investors held research shares between shareholders and management situation on the first type of agency problems and major shareholders and minority shareholders agency problems between the impact of the second category, analyzing whether the involvement of institutional investors and corporate governance play an active oversight role, thereby affecting the market the company’s operating performance. Then select the2010-2012GEM listed company data descriptive statistics, correlation analysis and multiple regression methods are two types of institutional investors and agency costs, institutional investors and corporate performance empirical research, and according to regression results to draw conclusions and propose recommendations for further development of institutional investors.
