State-owned enterprises are the backbone of China’s national economy. Its reform anddevelopment has long been the focus for building the socialist market economy and advancingenterprises modernization. After setting Dalian Port Group, the work of separation of majorand auxiliary business and restructuring of auxiliary business is steadily advancing, everyauxiliary business set an independent company. After a support from group for several years,it become a worthy research to evaluate the developments of the auxiliary business, and teststhat whether the time on divesting state capital from the auxiliary business is ripe. Then,proposes relative strategies base the problems. It also has a strong practical significance.In this paper, firstly, the theory analysis for auxiliary corporate of group corporaterestructuring and reorganizing. Base on the introduction of related concept, from the moderntheory of the firm to start, combine some relevant theoretical basis, analyses the relationshipbetween the governance of State-owned enterprises and the reform of auxiliary business, andthe necessity and the existing problems of reform of auxiliary. Analyses the characteristicsand trends of restructuring about auxiliary business of state-owned enterprises. Combine theactual situation of Dalian port auxiliary business restructuring, analyzed and summarized theassessment focus of the auxiliary business of Dalian Port Group.Based on relevant theories, the evaluation model for auxiliary business of Dalian PortGroup was designed which is including four dimensions: the profitability, the groupcorrelation, capacity of development and operation capacity. A evaluation system for auxiliarybusiness was constructed, which is including four first grade indicators and nine second gradeindicators. After a comprehensive analysis, AHP was chose to evaluate the indicators becauseof its reliability.According to the evaluation model, five auxiliary enterprises of Dalian Port Group wasevaluated, and the results of evaluation was analyzed. The results showed that: the score ofDalian Harbor Engineering Co., Ltd is0.336; the score of Dalian Port CommunicationEngineering Co., Ltd is0.473; the score of Dalian Port Machinery Co., Ltd is0.311;the scoreof Dalian Ganglong Science and Technology Co., Ltd is0.512, the score of Dalian Port electrical Co., Ltd is0.515. Then, the development proposals for the reform of the five wereholding from the group’s strategic level.Based on the evaluation results of the analysis, combines the Group’s actual situation andthe Group’s development strategy and overall strategic direction and requirements of thereform, the reform and development strategies of auxiliary business restructuring duringpresent stage in Dalian Port Group were proposed.
