With in-depth reform of the State-owned enterprises, especially in the face of huge competition pressure from the world, building large enterprise groups become an inevitable trend of economic development, since early1980s. Improving corporation governance of the large enterprise groups become an urgent task of the development of the large enterprise groups. Because of special developing process of the State-owned, the corporation governance of China has large difference from the Western developed countries. The corporation governance of China has more difficulties than Western, it needs more intelligent method to deal with.Nowadays, most of the researches of the corporation governance especially the State-owned enterprise groups governance, discus the relationships with the departments of government. These researches are more theoretical and less practical. These researches tell us "should do", and not telling us "how to do".This article analyzes the basic theories about the enterprise group governance firstly, and then analyzes a real company-company A, who continuously explores the methods during practice the enterprise group governance. Lastly, analyzes the plan of the enterprise group governance of company A and how to achieve it.This article is composed of three chapters as follows.The first chapter is the introduction. This chapter presents a large state-owned enterprises from state-owned enterprise reform and development process need to improve the Group’s governance issue. the author introduces some relevant theoretical research of enterprise groups, corporation governance, group corporate governance, and the parent company’s corporate governance. These theories provide a theoretical basis for the central argument of this article.In chapter two, the author introduces the corporate governance status of the company A, and then,point out some problems of the corporate governance system of the company A. In the end, the author point out the importance of corporate governance. In chapter three, firstly, the author gives an ideal governance structure of the company A. Secondly, the author provide the establishment of corporate governance. Thirdly, the author provides a three-year plan of corporate governance of the company A.
