Research On Inner Governance Of Group Corporation

To acclimate with the objective request of social production, the group corporation is the inevitable result of single corporations' combination and evolution. The group corporation rise in 1980s. Based on the integrated management inside the group corporation, the uppermost objective of the group corporation is to effectively distribute resources among ?corporations, to improve producing and managing efficiency, and to speed techniques upgrading of corporation. The group corporation inner governance and its juristic problems have been studied by law researchers. As the social economic development, both Chinese and foreign group corporations have exposed several problems in their practicing, which have already affected the healthy development of group corporations. Therefore, in order to provide theoretic guidance of solving those problems, and to enhance the group corporation inner governance, we need to start from deep theory levels, systematically and synthetically explore the inner governance mechanism and treatment patterns of the group corporations.Firstly, the author studies the group corporations and single corporations together with deeper theoretic analysis on group corporation inner governance. Then, the author compares the model patterns of corporation inner governance in developed countries, and provides several suggestions regarding how to improve Chinese state-owned group corporation inner governance. At last, with references in the experiences of group corporation inner governance, the author presents a tentative exploration on establishment and function of prison group corporation.This paper can divide into five parts except the introduction and the conclusion.First chapter: Generalization of Inner Governance of Group Corporation. The author refers to the connotation, development and existing basic types of group corporation. Here, the author emphasizes on the basic knowledge of group corporation inner governance. With comparing the differences of group and single corporation inner governance, the author concludes the general objective and direction of group corporation inner governance.Second chapter: Comparing Research on Group Corporation Inner Governance. This chapter utilizes the comparison method to study both Chinese and foreign group corporation inner governance system, on the chance of understanding its principles and directions comprehensively, and provides the model and the reference for consummation our country's group corporation inner governance.Third chapter: Rational Theories and Basic Mechanism of Group Corporation Inner Governance. Using studying methods of law and economics, the author analyzes the rational and basic principles of group corporation inner governance. Referring to the integrated management rights and the object of protecting outsiders' benefits, the author explores the functional mechanism, business mechanism, and share controlling mechanism of group corporation inner governance.
