Since the 1990 s, banks in most countries in the world are involved in the wave of economic acquisitions in the past. Huge gains in European and American countries mergers and acquisitions of commercial banks get so many developing countries have also involved in mergers and acquisitions of commercial banks in the past. As China’s financial markets, increasing competition, China’s market step by step occupied by foreign banks, China’s banking industry is also facing great challenges, motivation of M & A is also very urgent. Compared with commercial banks in Europe and America, China’s commercial banks there are still not a small gap,, China’s commercial banks mostly dominated government, property rights are not clear, bank-related laws and regulations are not standardized, the more the shortage of financial resources, so China commercial Bank M & a and West difference is obvious, the market competition is weak, heavy-led government, and our banks early in the Regrouping for more area to prevent financial risks, mainly from commercial banks require less M & a cases.In this paper, Ping An Group’s acquisition of Shenzhen Development Bank, for example, analysis of both M & A background, motivation, the specific process of mergers and acquisitions after the merger synergies and the like. Through the synergies Ping acquisition of Shenzhen Development after the analysis, we found that the two companies have significant synergies after the merger and reorganization of Ping An Group from operational, financial and management level have been greatly improved.
